1. Introduction

These Terms & Conditions govern the provision of services by Code Conduct LLC (“Company”, “we”, “us”, or “our”) to clients (“Client”, “you”). By engaging our services, you agree to these terms.

2. Services

Code Conduct LLC provides custom software development, web development, mobile application development, API and backend engineering, product design, and related technical services.

The scope of each engagement will be defined in a written agreement, proposal, or statement of work.

3. Scope of Work

All services are delivered based on an agreed scope. Any changes, additions, or modifications requested by the Client may require adjustments to fees, timelines, and deliverables. No additional work will be undertaken without prior written agreement. Delays in approvals, feedback, or provision of required materials may impact project timelines.

4. Intellectual Property

All intellectual property rights related to the content and design of this website are owned by ENX Information Technology or its licensors. These rights are protected by intellectual property laws, including copyright and trademark laws. You are granted a limited, non-exclusive, non-transferable license to access and use the website for personal, non-commercial purposes. You may not use any of ENX Information Technology’s trademarks, logos, or other proprietary information without prior written permission.

5. Client Responsibilities

The Client agrees to provide accurate information, timely feedback, and access to necessary systems, accounts, and materials required for project delivery. Code Conduct is not responsible for delays caused by incomplete information, lack of access, or delayed responses.

6. Intellectual Property

Upon full payment of all agreed fees, ownership of final project deliverables created specifically for the Client will transfer to the Client. Code Conduct retains ownership of any pre-existing materials, frameworks, tools, methodologies, or reusable components used in the delivery of services. Code Conduct may reference non-confidential work in its portfolio unless otherwise agreed in writing.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary, sensitive, or non-public information disclosed during the course of the engagement. Confidential information will not be disclosed to third parties without prior written consent, except where required by law.

8. Warranties and Liability

Code Conduct will perform services with reasonable skill and care. However, we do not guarantee uninterrupted or error-free operation of software and are not liable for indirect, incidental, or consequential losses. Liability for any claim arising from services provided is limited to the total fees paid by the Client for the specific project in question.

9. Third-Party Services

Projects may involve third-party platforms, hosting providers, APIs, or software services. Code Conduct is not responsible for outages, changes, security breaches, or limitations arising from third-party services beyond our control.

10. Termination

Either party may terminate an engagement in writing. In the event of termination, the Client will be invoiced for work completed up to the termination date. Deposits are non-refundable, and deliverables will be provided proportionate to payments received.

11. Governing Law

These Terms & Conditions are governed by the laws of the State of Wyoming, United States.
